1. Acceptance of Terms

By accessing and using the services provided by Gwatt Innovations ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Gwatt Innovations provides comprehensive solar energy solutions including:

  • Solar system design, installation, and commissioning
  • Energy storage and battery systems
  • EV charging infrastructure
  • Virtual power plant management
  • Energy management platforms and software
  • System monitoring and maintenance services
  • Consultation and technical support

3. Service Agreement and Installation

3.1 Contract Formation: A binding service agreement is formed when you accept our written proposal and we receive your signed contract and any required deposits.

3.2 Site Requirements: You are responsible for ensuring your property meets installation requirements, including structural integrity, electrical capacity, and local permit compliance.

3.3 Access and Cooperation: You must provide reasonable access to your property and cooperate with our installation teams during scheduled work periods.

4. Pricing and Payment Terms

4.1 Pricing: All prices are quoted in Canadian dollars and are subject to applicable taxes. Prices may vary based on system specifications, site conditions, and current market rates.

4.2 Payment Schedule: Payment terms will be specified in your service agreement. Typical payment schedules include:

  • Deposit upon contract signing
  • Progress payments at specified milestones
  • Final payment upon system commissioning

4.3 Late Payments: Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Warranties and Guarantees

5.1 Equipment Warranties: Solar panels, inverters, and other equipment are covered by manufacturer warranties, typically ranging from 10-25 years.

5.2 Installation Warranty: We provide a workmanship warranty on our installation services for a period specified in your service agreement.

5.3 Performance Guarantee: We may provide performance guarantees for system energy production as specified in your service agreement.

6. Maintenance and Support

6.1 System Monitoring: We provide remote monitoring services to track system performance and identify potential issues.

6.2 Maintenance Services: Regular maintenance services may be included in your service agreement or available as separate service packages.

6.3 Customer Responsibilities: You are responsible for keeping the system area clear of debris and reporting any visible damage or performance issues.

7. Limitation of Liability

To the maximum extent permitted by law, Gwatt Innovations' total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

8. Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, labor disputes, or supply chain disruptions.

9. Intellectual Property

All intellectual property rights in our software, designs, documentation, and proprietary technologies remain our exclusive property. You receive a limited, non-transferable license to use our software and systems solely for their intended purpose.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Termination

11.1 Termination by Customer: You may terminate services before installation begins by providing written notice, subject to cancellation fees as specified in your service agreement.

11.2 Termination by Company: We may terminate services if you breach these Terms or your service agreement, fail to make required payments, or if we determine that installation is not feasible.

12. Dispute Resolution

12.1 Governing Law: These Terms are governed by the laws of the Province of Ontario, Canada.

12.2 Dispute Resolution Process: Any disputes shall first be addressed through good faith negotiations. If unresolved, disputes may be submitted to binding arbitration or resolved through the courts of Ontario, Canada.

13. Regulatory Compliance

Our services comply with applicable Canadian electrical codes, building codes, and utility interconnection requirements. You are responsible for obtaining any required permits and approvals for your specific installation.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to existing customers with reasonable notice. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
